This Terms of Use Agreement ("Agreement") constitutes a legally binding agreement between Codex Central LLC ("Provider") and the customer ("Client"), whether an individual or acting on behalf of an entity. By accessing and using the Provider’s website (the "Website") and any related channels, platforms, or applications, the Client agrees to comply with the terms and conditions outlined herein. If the Client does not agree to all terms, they must cease using the Website immediately.

1. Intellectual Property Rights

Unless otherwise stated, the Website is the property of the Provider, and all source code, databases, functionality, software, website design, audiovisual content, text, graphics, and other elements (collectively the "Content") are the exclusive property of the Provider, protected by intellectual property laws. The Client is not authorized to copy, reproduce, distribute, transmit, or exploit the Content for commercial purposes without the Provider’s prior written consent.

2. Ownership of Materials

All projects developed for the Client, including design files and source code, will become the Client’s exclusive property upon delivery, and the Client retains copyright over such projects. The Client guarantees that all materials provided for project development do not infringe third-party rights. The Provider reserves the right to publicly showcase the Client’s work (social media, portfolio, etc.) unless otherwise agreed through a confidentiality agreement.

3. User Representations

By using the Website, the Client represents and warrants that:

  • They have the legal capacity to accept these Terms and Conditions.
  • They are not a minor in their jurisdiction of residence.
  • They will not access the Website via automated means.
  • They will not use the Website for illegal or unauthorized purposes.
  • Their use of the Website will not violate any applicable laws or regulations.

4. Prohibited Activities

The Client agrees not to:

  • Make unauthorized use of the Website.
  • Collect data or content from the Website to create a database or directory.
  • Interfere with or compromise the Website’s security features.
  • Deceive or defraud the Provider or other users.
  • Disrupt or overload the Website or the Provider’s networks and servers.

5. Client Feedback

Any questions, comments, suggestions, or other information provided by the Client will become the Provider’s property, and the Provider may use such information without compensation.

6. Website Management

The Provider reserves the right to monitor the Website and take necessary legal action for any violations of these Terms and Conditions.

7. Privacy Policy

By using the Website, the Client agrees to the Provider’s Privacy Policy, which outlines data collection and usage practices. The Provider does not solicit or accept information from minors. If information from individuals under 18 years of age is received, the Provider will delete it promptly.

8. Refunds and Returns

Refund requests are evaluated case by case and processed solely at the Provider’s discretion. Approved refunds, if applicable, will be subject to a 25% fee on the remaining balance of the billing period.

9. Modification of Terms

The Provider reserves the right to modify, suspend, or discontinue any part of the Website without prior notice and without liability to the Client.

10. Governing Law

These Terms and Conditions shall be governed and interpreted in accordance with the laws of the Provider’s country of residence, without regard to conflict of law principles.

11. Limitations of Liability

The Provider shall not be liable for any indirect, incidental, special, or punitive damages, including loss of profits or data. The Client agrees to indemnify and hold the Provider harmless from any claims or demands arising from the use of the Website or violations of these Terms and Conditions.

12. Electronic Communications

The Client consents to receive electronic communications from the Provider and agrees that all agreements, notices, disclosures, and other electronic communications satisfy legal requirements as written documents.

13. Showcasing Client Work

The Provider reserves the right to publicly display work completed for the Client unless the Client requests a confidentiality agreement (NDA) to restrict such display.
